Executive (Company Secretary & Legal) - Manufacturing- Responsible for complying with procedures and provisions under the Companies Act, 2013, SEBI Regulations, and other laws applicable to the Company.- Liaison with various regulatory authorities including Stock Exchanges and Registrar of Companies.- Attend to litigations of the Company.- Drafting of agreements, contracts, responses, etc. as required by the Company from time to time.- Responsible for compliance under the Foreign Exchange Management Act.- Assist in the Internal Audit function of the Company.- Assisting in the Due Diligence process of the Company.- Coordinating with different departments in the Company in order to ensure compliances of procedures within the departments.Qualification And Experience:i. Candidate must possess a dual qualification of Law Graduate (LLB is must) and Company Secretary with 3-5 years of experience post CS. (excluding Training)ii. The incumbent should be exposed to Secretarial matters, Corporate legal matters, Statutory and regulatory compliance , Corporate governance , vetting of legal documents, drafting agreements, getting approvals / registrations done from various government offices, statutory and administrative authorities like, Ministry of Corporate Affairs, Company Law Board, Reserve Bank of India, Stock Exchanges, Security Exchange Board of India, Secretariat for Industrial Assistance, Foreign Investment Promotion Board etc.iii. Commercial awareness with ability to provide innovative, cost effective and practical solutions to legal challenges.iv. Good understanding of Companies Act, 2013 and rules made thereunder, Listing Agreement and SEBI Regulations. v. Good understanding of FEMA, Competition Laws and Depositories Act and exposure to various corporate, commercial, civil, and property laws including Companies Act, Competition Act, SEBI Regulations, Contract Act, Transfer of Property Act.vi. Excellent skill of interpreting various laws and acts. vii.
